Revenue Sharing Agreement

Neo Logic Squad Information Technology Services LLC is doing business as a Musheer.com (the “Platform”) through its registered office at Floor 1, Building 13, Abu Hail, Dubai, UAE. By registering and availing our services, you, as a legal professional (“Legal Professional”), expressly acknowledge and agree to be bound by the following Revenue Sharing model and its Conditions. Please meticulously review these Conditions before engaging with our Platform.

1. Revenue Sharing Agreement

1.1 Percentage Share: Legal Professional and Musheer.com, herein referred to collectively as the “Parties,” shall diligently adhere to the revenue-sharing arrangement, stipulating as follows:

• Musheer.com: Herein referred to as the “Platform,” shall be entitled to 20% of the aggregate revenue generated from legal services facilitated through the Musheer.com platform.
• Legal Professional: Legal Professional shall be entitled to 80% of the aggregate revenue generated as compensation for their services.

1.2 Currency: All monetary transactions, including revenue sharing and settlement disbursements, shall be conducted exclusively in United Arab Emirates Dirhams (AED).

1.3 Settlement and Payment

1.3.1 Timing: Revenue sharing computations shall be conducted on a monthly basis, with disbursements scheduled for remittance within seven days of the culmination of each calendar month.

1.3.2 Payment Method: Musheer.com shall effectuate payments via wire transfer to the bank account details furnished by the receiving Party. Any incidental transaction costs associated with the wire transfer shall be the responsibility of the receiving Party.

1.3.3 Invoices: Musheer.com shall, within seven days of the closure of each calendar month, duly furnish the Legal Professional with meticulously detailed invoices. These invoices shall comprehensively outline the legal services rendered by the Legal Professional, the invoiced amounts, and any pertinent taxes, if applicable.

1.3.4 Taxes: Each Party hereby acknowledges and assumes sole responsibility for their respective tax obligations stemming from this revenue-sharing Agreement. The Legal Professional shall promptly provide Musheer.com with any requisite tax documentation or certifications as prescribed by pertinent tax authorities.

1.4 Revenue Sharing Calculation: The computation of revenue share shall be meticulously ascertained, taking into account the total fees collected by Musheer.com for legal services availed through the Platform. This computation shall deduct any transaction fees, refunds, or chargebacks that may arise.

1.5 Payment Discrepancies: In the event of any discrepancies or disputes germane to revenue-sharing calculations, the Parties pledge to engage in earnest good-faith discussions to expedite the resolution of the matter.

2. Confidentiality

2.1 Confidentiality Obligation: Both Parties solemnly pledge to maintain the utmost confidentiality concerning any non-public information acquired during the course of their contractual engagement. Disclosure of such information to any third party shall strictly be contingent upon the prior written consent of the Party holding such confidential information, barring any legal obligations mandating disclosure.

3. Governing Law and Jurisdiction

3.1 Governing Law: This Agreement shall be construed and enforced in accordance with the laws of the United Arab Emirates.

3.2 Jurisdiction: All disputes and claims arising from or in connection with this Agreement shall be exclusively adjudicated within the competent courts of UAE, to the exclusion of all other venues.

4. Fiscal Matters and Taxation

4.1 Tax Responsibility: Legal Professional unequivocally accepts responsibility for all tax liabilities, inclusive of income tax and any ancillary taxes emanating from revenue accrued through Musheer.com. Legal Professional shall maintain a commitment to providing precise tax-related information and requisite certifications as necessitated by relevant tax authorities.

4.2 Reporting Obligations: Legal Professional shall diligently conform to all reporting prerequisites imposed by the tax authorities within their jurisdiction. Legal Professional shall promptly apprise Musheer.com of any alterations in their tax status or related information.

4.3 Withholding Taxes: Musheer.com reserves the prerogative to withhold taxes on payments remitted to Legal Professional, in strict accordance with applicable legal requirements. Musheer.com shall duly furnish Legal Professional with the requisite tax documentation and notifications as dictated by prevailing laws.

5. Entire Agreement

5.1 Entire Agreement: This Agreement, as comprehensively expounded upon herein, constitutes the exclusive and whole accord between the Parties governing the precise subject matter herein, thus superseding and abrogating any antecedent oral or written agreements, discussions, or negotiations.

5.2 By registering as a legal professional on Musheer.com, you solemnly affirm your comprehension of, and adherence to, the terms and conditions stipulated within the Revenue Sharing Agreement. These terms are meticulously crafted to safeguard the interests of all Parties involved.

6. Additional Terms

In addition to the Revenue Sharing Agreement, Legal Professional is obliged to scrupulously adhere to all supplementary terms and policies articulated on Musheer.com. This encompasses, without limitation, compliance with our Privacy Policy, Terms and Conditions, and any supplementary guidelines or protocols publicly disseminated on our Platform.

7. Modifications

Musheer.com expressly reserves the right to modify these Terms and Conditions, including the Revenue Sharing Agreement, at its sole discretion and without prior notice. Any amendments shall be conspicuously displayed on our Platform, thereby obliging Legal Professional to periodically review and familiarize themselves with these alterations. Your continued engagement with Musheer.com post-amendment shall unequivocally signify your unreserved acceptance of the amended terms.

8. Disclaimer of Warranties

Your use of the site, its content and any services or items obtained through the website is at your own risk. The site, its content and any services or items obtained through the website are provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied. Neither Musheer.com nor any person associated with Musheer.com makes any warranty or representation with respect to the completeness, security, reliability, quality, accuracy or availability of the site.

The foregoing does not affect any warranties which cannot be excluded or limited under applicable law.

9. Limitation on Liability

In no event will Musheer.com, its affiliates or their licensors, service providers, employees, agents, officers or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the site, any websites linked to it, any content on the site or such other websites or any services or items obtained through the site or such other websites, including any direct, indirect, special, incidental, consequential or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable.
The foregoing does not affect any liability which cannot be excluded or limited under applicable law.

10. Violations

Users may receive a warning to their account for violations of our Terms of Service and/or our Community Standards or any user misconduct reported to our Trust and Safety team. A warning will be sent to the user’s email address and will be displayed for such user on the Musheer.com website. Warnings do not limit account activity but can lead to your account losing Seller statuses or becoming permanently disabled based on the severity of the violation.

11. Non-Permitted Usage

Adult Services & Pornography – Musheer.com does not allow any exchange of adult-oriented or pornographic materials and services.

• Inappropriate Behaviour & Language – Communication on Musheer.com should be friendly, constructive, and professional. We condemn bullying, harassment, and hate speech towards others. We allow users a medium for which messages are exchanged between individuals, a system to rate orders, and to engage on larger platforms such as our Community Forum and Social Media pages.
• Phishing and Spam – Members’ security is a top priority. Any attempts to publish or send malicious content with the intent to compromise another member’s account or computer environment are strictly prohibited. Please respect our members’ privacy by not contacting them with offers, questions, suggestions, or anything which is not directly related to their services or orders.
• Privacy & Identity – You may not publish or post other people’s private and confidential information. Any exchange of personal information required for the completion of a service must be provided on the Musheer.com platform. Sellers further confirm that whatever information they receive from the Buyer, which is not public domain, shall not be used for any purpose whatsoever other than for the delivery of the work to the Buyer. Any users who engage and communicate off of Musheer.com will not be protected by our Terms of Service.
• Authentic Musheer.com Profile – You may not create a false identity on Musheer.com, misrepresent your identity, create a Musheer.com profile for anyone other than yourself (a real person), or use or attempt to use another user’s account or information. Your profile information, including your description, skills, location, etc., must be accurate and complete and may not be misleading, illegal, offensive, or otherwise harmful.
• Musheer.com reserves the right to require users to go through a verification process in order to use the Site (whether by using ID, phone, camera, etc.).
• Intellectual Property Claims – Musheer.com will respond to clear and complete notices of alleged copyright or trademark infringement and/or violation of third party’s terms of service. Our Intellectual Property claims procedures can be reviewed here.
• Fraud / Unlawful Use – You may not use Musheer.com for any unlawful purposes or to conduct illegal activities.

12. Abuse and Spam

Multiple Accounts – To prevent fraud and abuse, users are limited to one active Musheer.com account and one active Musheer.com Pro account. Any additional account determined to be created to circumvent guidelines, promote competitive advantages, or mislead the Musheer.com community will be disabled. Mass account creation may result in disabling of all related accounts. Note: any violations of Musheer.com’s Terms of Service and/or our Community Standards is a cause for permanent suspension of all accounts:

• Targeted Abuse – We do not tolerate users who engage in targeted abuse or harassment towards other users on Musheer.com. This includes creating new multiple accounts to harass members through our message or ordering system.
• Selling Accounts – You may not buy or sell Musheer.com accounts.

13. Proprietary Restrictions

The Site, including its general layout, look and feel, design, information, content, and other materials available thereon, is exclusively owned by Musheer.com and protected by copyright, trademark, and other intellectual property laws. Musheer.com® is a registered trademark owned exclusively by Musheer.com. Users have no right, and specifically agree not to do the following with respect to the Site or any part, component, or extension of the Site (including its mobile applications): (i) copy, transfer, adapt, modify, distribute, transmit, display, create derivative works, publish or reproduce it, in any manner; (ii) reverse assemble, decompile, reverse engineer or otherwise attempt to derive its source code, underlying ideas, algorithms, structure, or organization; (iii) remove any copyright notice, identification or any other proprietary notices; (iv) use automation software (bots), hacks, modifications (mods) or any other unauthorized third-party software designed to modify the Site; (v) attempt to gain unauthorized access to, interfere with, damage or disrupt the Site or the computer systems or networks connected to the Site; (vi) circumvent, remove, alter, deactivate, degrade or thwart any technological measure or content protections of the Site; (vii) use any robot, spider, crawlers or other automatic device, process, software or queries that intercepts, “mines,” scrapes or otherwise accesses the Site to monitor, extract, copy or collect information or data from or through the Site, or engage in any manual process to do the same, (viii) introduce any viruses, trojan horses, worms, logic bombs or other materials that are malicious or technologically harmful into our systems, (ix) use the Site in any manner that could damage, disable, overburden or impair the Site, or interfere with any other users’ enjoyment of the Site or (x) access or use the Site in any way not expressly permitted by these Terms of Service. Users also agree not to permit or authorize anyone else to do any of the foregoing.

Except for the limited right to use the Site according to these Terms of Service, Musheer.com owns all right, title and interest in and to the Site (including any and all intellectual property rights therein) and you agree not to take any action(s) inconsistent with such ownership interests. We reserve all rights in connection with the Site and its content (other than User-Generated Content) including, without limitation, the exclusive right to create derivative works.

14. Feedback Rights

To the extent that you provide Musheer.com with any comments, suggestions, or other feedback regarding the Musheer.com platform or the Site as a whole, as well as other Musheer.com products or services (collectively, the “Feedback”), you will be deemed to have granted Musheer.com an exclusive, royalty-free, fully paid up, perpetual, irrevocable, worldwide ownership rights in the Feedback. Musheer.com is under no obligation to implement any Feedback it may receive from users.
